It has been agreed as follows:

The Provider carries out this assignment independently, in accordance with the standards of its profession.
Article 2 – Deliverables and exclusions
The Provider delivers the following to the Client:
- Design mock-ups of the home page and one inner page
- 5-page WordPress website, live
- User guide (PDF) and 1-hour remote training
The following are not included in the assignment, unless agreed in writing with an additional quote:
- Copywriting and photography
- Hosting and domain name
- Maintenance after launch
Article 3 – Term and schedule
This agreement takes effect on 2 November 2026 and ends on 29 January 2027, or earlier once the final deliverables have been delivered and approved.
Provisional schedule: mock-ups within 3 weeks, development within 5 weeks after approval, launch in January 2027
Deadlines only run from the Provider’s receipt of the necessary items from the Client; any delay by the Client in providing them or in approving work extends the Provider’s deadlines accordingly.
Article 4 – Provider’s obligations
The Provider undertakes to:
- carry out the assignment with care, in accordance with this agreement and professional standards;
- inform the Client without delay of any difficulty likely to affect the quality or timing of the assignment;
- advise the Client on the choices to be made in the course of the assignment.
Unless otherwise stated in the deliverables, the Provider is bound by a best-efforts obligation.
Article 5 – Client’s cooperation
The Client undertakes to:
- provide the Provider, within the agreed deadlines, with the information, content, access and approvals needed for the assignment, and warrant that it holds the rights to the content it provides;
- appoint an available contact person authorised to approve each stage of the assignment;
- pay the price as provided in this agreement.
Article 6 – Approval of deliverables
Each deliverable is subject to the Client’s approval. The Client has 8 days from delivery to approve it or to raise specific, reasoned objections in writing. The assignment includes 2 round(s) of changes per deliverable; further requests are subject to an additional quote.
If no written objection is raised within that period, the deliverable is deemed approved.
Article 7 – Price
In return for the assignment, the Client pays the Provider a fixed price of €3,200. VAT not applicable, art. 293 B of the French General Tax Code (TVA non applicable, art. 293 B du CGI).
This price covers all the deliverables described in this agreement; any additional work is subject to a quote accepted in advance.
Article 8 – Payment terms
The price is payable according to the following schedule:
- a deposit of 30% (€960) on signature of the agreement;
- the balance, i.e. €2,240, on delivery of the final deliverables.
Invoices are payable within 30 days of the invoice date, by bank transfer. No discount is granted for early payment.
Article 9 – Late payment
Any late payment automatically gives rise, from the day after the due date shown on the invoice and without any reminder being required, to late-payment interest at the rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points (article L. 441-10 French Commercial Code), together with a fixed indemnity for recovery costs of 40 euros (article D. 441-5 French Commercial Code). If the recovery costs incurred exceed that amount, additional compensation may be claimed on production of supporting documents.
If payment is more than fifteen days late after a formal notice that remains unanswered, the Provider may suspend its services until full payment, after informing the Client in writing.
Article 10 – Changes to the assignment
Any change to the assignment (addition, removal, change of scope) is subject to an amendment or an additional quote accepted in writing by both parties, stating its impact on price and deadlines. Otherwise the Provider is not obliged to carry it out.
Article 11 – Intellectual property
Subject to full payment of the price, the Provider assigns to the Client, exclusively, the economic copyright in the deliverables created specifically for the Client under this assignment, namely: the right of reproduction (to fix and reproduce the deliverables, in whole or in part, on any medium), the right of communication to the public (to show and communicate the deliverables to the public by any means), the right of adaptation (to modify, develop, adapt and translate the deliverables); for use on the following media: the Client’s website, social media and printed marketing materials; for the following territory: the whole world; for the full legal term of copyright protection.
The price of this assignment is included in the price of the assignment. Until full payment, the Client may only use the deliverables for testing.
The Provider’s tools, methods, know-how and pre-existing material, as well as third-party components (fonts, image libraries, open-source software…), remain the property of their owners and are subject to their own licences. The author’s moral rights are preserved.
Article 12 – References
Unless the Client objects in writing, the Provider may mention the Client’s name and show the deliverables, once made public, as a reference in its portfolio and marketing materials.
Article 13 – Confidentiality
Each party undertakes to keep confidential the non-public information of the other party that it learns in connection with this agreement, to use it only to perform this agreement and to disclose it only to persons who need to know it and are bound by the same obligation.
This obligation applies for the whole term of the agreement and for 2 years after it ends. It does not apply to information that is already public, already known to the receiving party or whose disclosure is required by law or by an authority.
Article 14 – Personal data
Each party complies with the applicable personal data protection rules, in particular Regulation (EU) 2016/679 (GDPR).
If, to carry out the assignment, the Provider processes personal data on behalf of the Client, the parties enter into the processing agreement required by Article 28 GDPR, setting out the subject matter, duration, nature and purpose of the processing, the categories of data and data subjects and the security measures.
Article 15 – Subcontracting
The Provider may subcontract part of the assignment to subcontractors of its choice after informing the Client, who may object on legitimate grounds. The Provider remains solely responsible to the Client for the proper performance of the assignment.
Article 16 – Independence of the parties
The Provider carries out the assignment independently, with its own resources and with no relationship of subordination to the Client. It organises its work freely and remains solely responsible for its social security and tax obligations.
Article 17 – Liability
Each party is liable for direct damage caused to the other party by a breach of its obligations. The Provider’s total liability under this agreement is limited to the total amount excluding VAT paid by the Client under this agreement, except in case of gross negligence or wilful misconduct, personal injury or infringement of a third party’s intellectual property rights.
Neither party is liable for indirect damage, such as loss of turnover, customers or reputation.
Article 18 – Force majeure
Neither party is liable for a failure caused by force majeure, meaning an event beyond its control that could not reasonably have been foreseen when the agreement was concluded and whose effects cannot be avoided by appropriate measures (article 1218 French Civil Code).
The affected party informs the other without delay. Performance is suspended for as long as the impediment lasts; if it lasts more than one month, either party may terminate the agreement in writing, without compensation, work already performed remaining payable.
Article 19 – Termination
If a party seriously breaches its obligations and does not remedy the breach within fifteen days of a written formal notice, the other party may terminate the agreement in writing.
Either party may also end the agreement at any time, without giving reasons, by giving 15 days’ written notice.
On termination, for whatever reason, the Client pays for the work carried out up to the end date and the Provider hands over the corresponding deliverables. Amounts already paid are set off against that sum; any overpayment is refunded.
Article 20 – Contract documents
The contract consists of, in decreasing order of priority, this document, its annexes and the quote accepted by the Client. It is the entire agreement between the parties and supersedes any prior exchange on the same subject. The Client’s general purchasing terms do not apply unless accepted in writing by the Provider.
Article 21 – Governing law and disputes
This document is governed by French law.
In case of difficulty, the parties first seek an amicable solution. Failing an amicable agreement within thirty days, the dispute will be brought before the competent courts of Lyon.
Article 22 – Signature and copies
This document is signed electronically. The parties acknowledge that the electronic signature, made using a reliable identification process guaranteeing its link with the document, has the same value as a handwritten signature (Regulation (EU) No 910/2014 “eIDAS”; articles 1366 and 1367 French Civil Code) and that the signed electronic version is authoritative between them. Each party keeps a copy on a durable medium.
Signed electronically, on the date of the last signature.
