What is Contracts & Terms Studio for?
A good contract prevents most disputes: it says who does what, for what price, by when, and what happens when things go wrong. Contracts & Terms Studio helps you prepare it clause by clause, from a library of clauses explained in plain language and adapted to French or Belgian law.
You answer a few questions (parties, assignment, price, deadlines, rights…); your answers automatically fill in every clause, the tool checks the document on 5 axes (mandatory information, balance, clarity, consistency, signature and evidence) and lays it out with contents, numbered articles and an “Approved” signature block.
Documents are written in the language of the interface: English on these pages, French on the French pages.
What the tool is not
With the other Yok-Kod tools
- Compliance Studio prepares your website’s legal notice, privacy policy, cookie policy and withdrawal form: they are deliberately not duplicated here;
- Freelance Proposal Generator lays out the business proposal you send before the contract;
- Funnel Studio builds the sales pages that link to your terms of sale;
- CRM Studio tracks your clients and signed contracts.

The steps, one by one
Start from the demo or a template
🎁 Demo loads a complete website service contract. Pro members get 8 industry templates (📋 Templates: web freelancer, graphic designer, consultant, coach, online shop, craftsperson, app, photographer). Parties are fictitious and marked “(example)”. You can always go back with ↶.
Choose the document and the country
At the top, pick one of the 5 documents, then in “Document setup” the country (France or Belgium) and, for a service contract, whether your client is a business or a consumer and how the contract is concluded.
Fill in the parties and the content
Your identity (name, legal form, registration number, address, VAT), the other party’s, then the assignment, deliverables, dates, price, deposit, payment term and intellectual property rights.
Adjust the articles
In “Document articles”, turn each clause on or off, reorder it, read its “Why?”, edit its text or add your own clauses. The preview updates live.
Follow the recommendations, then export
The score tells you what is missing or risky; click a recommendation to open the article concerned. Then export to PDF, Word or text (Pro) and have it reviewed before signing.
The 5 documents
| Document | When to use it |
|---|---|
| 🤝 Service contract | A specific assignment with a client, business or consumer, signed by both parties. |
| 🛍️ Consumer terms of sale | Online sale of products, services or digital content to consumers. |
| 🏢 Business terms of sale / service terms | Your general terms for business clients, attached to your quotes. |
| 💻 Terms of use | The rules for using a website or app: account, use, content, reporting. |
| 🔒 Non-disclosure agreement | Before sharing a project, code or figures with a partner (mutual or one-way). |
Each document keeps its own article settings: you can switch between them in the same project without losing your edits.
France or Belgium: what changes
| Topic | France | Belgium |
|---|---|---|
| B2B late payment | ECB rate + 10 points and €40 indemnity, to be stated in your terms (art. L441-10 Commercial Code) | Statutory rate (ECB + 8 points) and €40 indemnity, due automatically (law of 2 August 2002) |
| Maximum B2B payment term | 60 days after invoice or 45 days end of month | 60 days after receipt of the invoice |
| Consumer late payment | Statutory interest after formal notice, no €40 indemnity | Free first reminder, 14 days, then capped amounts (Book XIX Code of Economic Law) |
| Mediation | Consumer mediator mandatory, name and website to be given | Consumer Mediation Service or sector ombudsman |
| Legal guarantee | Official text box mandatory in terms of sale (2 years + hidden defects) | 2 years, defect presumed to exist at delivery |
| VAT exemption | “TVA non applicable, art. 293 B du CGI” | “Régime particulier de franchise des petites entreprises” |
| Copyright transfer | Each right listed, with scope, purpose, place and duration (art. L131-3 IP Code) | In writing, strict interpretation, scope and duration per form of use (art. XI.167 CEL) |
The clause library
- Each article is labelled Mandatory (or essential), Recommended or Optional. Clauses that do not apply to your situation (for example withdrawal with a business client) are grouped separately, with the reason.
- ? shows the “Why?”: the role of the clause and the pitfalls to avoid, in plain language. The 💡 Why? button above the preview shows them all.
- ✎ opens the editor: title, text, variables to insert. “↺ Library text” undoes your edits. In the discovery version, the text of locked articles is for Pro: you can still include them, move them or write your own clause.
- ↑ ↓ reorder articles; numbering and contents follow.
- + Add a clause creates a custom clause (non-compete, travel, cancellation…).
- Click an article in the preview to open it in the editor.
Variables
Words in braces, such as {price}, {deposit}, {payment_term} or {city}, are replaced by your answers in every clause. Change the price once and it changes everywhere. An empty variable is highlighted in yellow in the preview, and a misspelt variable is flagged by the score.
Selling to consumers
- 14-day right of withdrawal for a contract concluded at a distance or off-premises, with the model form in the annex. Since 19 June 2026, a contract concluded online must also offer an online withdrawal function (“Withdraw from contract here”).
- Prices including VAT, legal guarantees, mediator, reachable customer service: the tool checks them.
- Prohibited clauses are detected automatically: total exclusion of liability, “photos not contractual”, “no refunds”, imposed court, exclusion of warranty, non-compliant recovery charges…
- With a French consumer, call an advance payment a deposit (acompte): without detail it is presumed to be “arrhes”, which the client can forfeit to walk away.
The 5-axis score
| Axis | What is checked |
|---|---|
| Mandatory information | Full identity, B2B late-payment terms, prices incl. VAT, withdrawal, mediator, legal guarantees, detailed transfer of rights, content reporting… |
| Balance | Prohibited or unfair clauses, exit for both parties, framed liability, reasonable durations |
| Clarity | Fields to complete, remaining example content, precise assignment and deliverables, overlong sentences, unreviewed AI drafts |
| Consistency | Deposit below the price, payment term within the legal maximum, dates, VAT rate, reverse charge, notice |
| Signature and evidence | Place and method of signature, authorised signatories, contract documents, acceptance of terms, dated versions |
The discovery version shows the score and 3 recommendations; Pro shows them all, with details of every check. A high score does not guarantee legal validity: it flags common gaps and risks.
Export and sign (Pro)
- 🖨️ Print / PDF: the layout is designed for A4 printing (clean page breaks); choose “Save as PDF”.
- 📄 Word (.docx): a real, editable Word file with heading styles; Markdown, text and HTML; 📋 Copy the text.
- Sign on paper (two originals, “Approved”) or with an electronic signature through a service that identifies signatories and timestamps the document: it has the same value as a handwritten signature.
- For terms of sale or use: publish them on your website, have them accepted with an unticked checkbox and keep every dated version.
AI (optional, Pro)
With your own key (Agnes, OpenAI, Claude, Mistral, Groq, Gemini or a compatible service), the assistant can draft a tailored clause from your situation, explain a clause in plain language (💬 in an article’s editor) and review the whole document for inconsistencies and gaps. AI-drafted clauses are marked “AI draft to be reviewed” in the document until you tick them as reviewed. The AI is instructed never to claim a text is valid and never to make things up. Your key stays in your browser.
Discovery or Pro?
The document is divided into numbered articles. In the discovery version, the preview shows about a third of the articles, the first ones in document order (for example 8 out of 22); the others keep their title and show a locked preview. The counter above the preview tells you how many are visible.

Where is my data?
Your documents are saved in your browser, automatically. The server receives the project only to generate the preview, analysis and exports, and does not keep it. The discovery version keeps 1 project; Pro keeps 30 and can save and import them as JSON, for example to move between computers.
Frequently asked questions
- Is the document “valid”?
- It is built to follow the usual rules of French or Belgian law, but only a professional who knows your situation can confirm it. Have it reviewed, especially when the stakes are high.
- Where is the legal notice?
- In Compliance Studio, with your website’s privacy and cookie policies.
- I cannot see the “Right of withdrawal” article.
- It only appears for a consumer client and a contract concluded at a distance or off-premises. Signed on your premises, there is no statutory withdrawal.
- A yellow “to complete” passage appears.
- A variable is empty: fill in the matching field or click the article to see which ones are missing.
- My edited text no longer uses my answers.
- Keep the variables in braces, such as
{price}, or insert them with the buttons below the text. - Why are some articles locked in the preview?
- The discovery version shows about a third of the document (the first articles). Pro shows the complete document and lets you export it.
- “Browser storage is full”.
- Delete an old project after exporting it as JSON (Pro).
